Terms and Conditions

By accessing and using the services provided by OneGreenDiary Technologies Pvt. Ltd. ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

OneGreenDiary provides enterprise software development, ERP consulting, data engineering, AI/ML solutions, and related technology services. The specific scope of services will be defined in individual project agreements or statements of work.

All intellectual property rights in the deliverables created under a project agreement shall be governed by the terms of that specific agreement. Unless otherwise stated:

• Pre-existing IP of each party remains with that party
• Custom code developed for the client is assigned upon full payment
• Open-source components remain under their respective licenses
• Our proprietary tools and frameworks remain our property

Payment terms are as specified in individual project agreements. Unless otherwise agreed:

• Invoices are due within 30 days of issuance
• Late payments may incur interest at 1.5% per month
• All fees are exclusive of applicable taxes
• Currency and payment method as specified in the agreement

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives the termination of any agreement for a period of 3 years.

To the maximum extent permitted by law, OneGreenDiary's total liability under any agreement shall not exceed the fees paid by the client in the 12 months preceding the claim. We shall not be liable for indirect, incidental, or consequential damages.

Either party may terminate an engagement with 30 days written notice. Upon termination, the client shall pay for all work completed up to the termination date. Provisions regarding confidentiality, IP, and limitation of liability survive termination.

These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
